General Terms and Conditions |

1. |
Scope |
1.1 |
The present General Terms and Conditions shall apply for contracts between translators and their clients unless otherwise agreed or mandatory. |
1.2 |
The client’s General Terms and Conditions shall only be binding for the translator if they have been expressly accepted. |
2. |
Scope of the translation job |
2.1 |
The translation shall be executed with due care and proper professionalism. The client shall obtain the contractually stipulated execution of the translation. |
2.2 |
Questions of style are not a matter of translation. |
3. |
Client's obligation to co-operate and to disclose information |
3.1 |
The client shall be obliged to inform the translator in due time about special execution requirements of the translation (translation on data carriers, number of copies, translation ready for press, appearance of the translated text etc.). If the translation is intended for being printed, the client shall provide the translator with a galley proof. |
3.2 |
Information and documents required for preparing the translation shall be placed at translator’s disposal by client unbidden and in due time (e.g. client’s glossaries, illustrations, drawings, tables etc.). |
3.3 |
The translator shall only be obliged to translate abbreviations if the client provides the full meaning of the abbreviation unless they are commonly known abbreviations. |
3.4 |
If the meaning of words with several possible meanings can only be taken from the context or from an illustration, the translator may not be accused of wrong translation if the context or illustration required have not been supplied. |
3.5 |
Mistakes resulting from non-compliance with these obligations shall not be translator’s responsibility. |
4. |
Rectification |
4.1 |
The translator reserves the right to rectify his translation. The client is entitled to claim rectification of possible faults in the translation. The claim for rectification must be pleaded by the client within a reasonable period of time, clearly stating the fault. |
5. |
Liability |
5.1 |
The translator shall only be liable in case of gross negligence and intent. |
5.2 |
The translator’s liability shall be limited to the amount covered by his pecuniary damage liability insurance. |
6. |
Secrecy |
6.1 |
The translator shall oblige himself to maintain silence about all information he becomes aware of in connection with his work for the client. Cooperation with colleagues who are equally obliged to maintain silence shall not be regarded as an infringement of the obligation of secrecy. |
7. |
Payment |
7.1 |
Payment shall be due immediately after acceptance of the work done. The period for acceptance must be reasonable. The period of acceptance shall not exceed four weeks. |
7.2 |
The translator shall be entitled to full payment of the amout agreed upon with the client. VAT shall be invoiced separately, if applicable. In case of extensive translations, the translator shall be entitled to claim advance payment of an amount of money required for preparing the translation. In justified cases he may claim payment of the full amount prior to delivery of the translation. |
7.3 |
If the amount to be paid has not been agreed upon in advance, a reasonable and usual payment shall be due, depending on the type and difficulty of the translated text. Here, at least the rates applied for witnesses and authorised experts shall be regarded as reasonable and usual. |
8. |
Ownership and copyright |
8.1 |
The translation shall be the translator's property until full payment of the amount due. The client shall not have any right of use. |
8.2 |
The translator reserves his copyright. |
9. |
Applicable law / severability |
9.1 |
German law shall apply for the order and all claims arising therefrom. |
9.2 |
If individual regulations of the present General Terms and Conditions are or become invalid or ineffective, this shall not affect the effectiveness of the other regulations. |
